Please read these Terms and Conditions ("Terms") carefully before using the HappySouls application and website (collectively, the "Service") operated by HappySouls, LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
1. Acceptance of Terms
By creating an account or using any part of the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
HappySouls is a storytelling platform that enables users to record, preserve, and share personal and family stories through guided audio and video interviews. We provide interview prompts, recording tools, transcription, and secure storage to help families capture memories before they are lost.
3. Accounts and Registration
You may register using an email address, Google account, Apple ID, or Facebook account. You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activity that occurs under your account;
- Notifying us immediately at support@happysouls.com if you suspect unauthorized access.
We reserve the right to refuse registration or cancel accounts at our discretion.
4. Your Content
You retain all ownership rights to recordings, transcripts, photographs, and other materials you upload or create through the Service ("Your Content"). By submitting Your Content, you grant HappySouls a limited, non-exclusive, worldwide, royalty-free license to store, process, and display Your Content solely for the purpose of providing the Service to you and those you explicitly invite.
You represent and warrant that:
- You have all necessary rights to submit Your Content;
- Your Content does not infringe any third-party intellectual property, privacy, or publicity rights;
- You have obtained the consent of any individuals featured in recordings.
We do not sell Your Content to third parties or use it to train AI models without your explicit consent.
5. Prohibited Uses
You agree not to use the Service to:
- Upload content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable;
- Impersonate any person or entity;
- Attempt to gain unauthorized access to our systems or other users' accounts;
- Use automated tools to scrape, crawl, or harvest data from the Service;
- Transmit malware, viruses, or any code of a destructive nature;
- Violate any applicable local, national, or international law.
6. Third-Party Services
The Service integrates with third-party platforms including Facebook, Google, and Apple for authentication purposes. Your use of those platforms is governed by their respective terms of service and privacy policies. HappySouls is not responsible for the practices of any third-party service. When you connect a third-party account, you authorize us to access only the information you have permitted that platform to share.
7. Intellectual Property
All software, design elements, trademarks, and proprietary technology underlying the Service are owned by HappySouls, LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or logos without our prior written consent.
8. Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
9. Limitation of Liability
To the maximum extent permitted by law, HappySouls, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) one hundred US dollars (US $100).
10. Termination
You may delete your account at any time through the account settings page. Upon deletion, we will process your data in accordance with our Privacy Policy. We may suspend or terminate your access to the Service immediately, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective date" above and notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
